Article 1 — Purpose and scope
These General Terms and Conditions of Sale (hereinafter referred to as the "Terms and Conditions") govern the sale of PERS6NɅ training courses, accreditations and reports/diagnostics (hereinafter referred to as the "Services") offered by Igor Heres SARL on the pers6na.com website.
These Terms and Conditions apply exclusively to commercial relationships between professionals (B2B): any order implies that the buyer is acting in the course of their professional activity. Any order placed on the Site constitutes full and unconditional acceptance of these Terms and Conditions, which shall prevail over any other document unless otherwise agreed in writing.

Article 3 — Services offered
3.1 Training courses
PERS6NɅ practitioner accreditation training courses, Levels 1 (Present), 2 (Train) and 3 (Support), including training sessions, supervision sessions and an accreditation session before an assessment panel.
3.2 Reports and diagnostics
PERS6NɅ reports (γ summary version, 44-page Advanced version, Management version, Recruitment version), produced from the questionnaire completed by the end beneficiary.
The essential characteristics of each Service are described on the corresponding pages of the Site.
Article 4 — Prices
Prices are provided by quotation or during a preliminary scoping discussion with the PERS6NɅ team and are confirmed in writing (quotation or purchase order) before any invoicing. Prices are stated in euros, excluding taxes, plus VAT at the rate applicable on the date of the order.
Igor Heres SARL reserves the right to change its prices at any time; Services are invoiced on the basis of the price applicable at the time the order is validated by the buyer.
Article 5 — Orders
Any order for a Service is subject to a prior quotation or written confirmation specifying the nature of the Service, its price and the terms of its delivery. The order shall only be considered final once the quotation has been expressly accepted by the buyer (signature, written approval or online validation) and, where applicable, once the required deposit has been paid.
Article 6 — Payment
6.1 Payment methods
Payment may be made by bank card (secure online payment) or bank transfer, according to the terms specified on the invoice or quotation.
6.2 Payment terms
Unless otherwise agreed in the quotation, payment is due:
for training courses: according to the payment schedule specified in the quotation (for example, a deposit upon registration and the balance before the start of the session);
for reports/diagnostics: payment in full at the time of order, unless a specific framework agreement provides otherwise.
6.3 Late payment
Any late payment shall result, in accordance with Article L441-10 of the French Commercial Code, in late-payment penalties calculated at the interest rate applied by the European Central Bank to its most recent refinancing operation, increased by 10 percentage points, together with a fixed recovery fee of €40, without any prior reminder being required.
Article 7 — Delivery of the Services
7.1 Training courses
Session dates are communicated upon registration. If the buyer is unable to attend, they may request that their registration be transferred to a later session, subject to availability and under the following conditions:
rescheduling requested more than 15 days before the session: no charge;
rescheduling requested less than 15 days before the session: fees may apply, as specified in the quotation.
In the event of cancellation by Igor Heres SARL (insufficient number of participants, trainer unavailability), the buyer will be offered either a transfer to another session or a full refund of any amounts already paid.
7.2 Reports and diagnostics
The report is delivered once the questionnaire has been completed by the end beneficiary and the collected data has been processed. The delivery timeframe is specified at the time of order. Unless otherwise stated, the debriefing of the report by an accredited practitioner constitutes a separate Service and is not automatically included in the purchase of the report alone.
Article 8 — No right of withdrawal
As these Terms and Conditions apply exclusively to relationships between professionals, the 14-day right of withdrawal provided for consumers under the French Consumer Code (Article L221-18) does not apply to orders placed within this framework. Cancellation and rescheduling conditions are those set out in Article 7 above.
Article 9 — Intellectual property and confidentiality
The training content, reports and PERS6NɅ model remain the exclusive property of Igor Heres SARL. The buyer of a training course or accreditation undertakes not to reproduce, distribute or transfer to non-accredited third parties any content, methods or materials provided within this framework.
Data and information provided in connection with a report (end beneficiary) are processed in accordance with the Site's Privacy Policy.
Article 10 — Non-clinical framework
PERS6NɅ reports are a non-clinical and non-diagnostic framework and do not replace any assessment by a healthcare professional. The buyer undertakes not to present or use these reports as a medical diagnostic tool.
Article 11 — Liability
The liability of Igor Heres SARL under these Terms and Conditions shall not exceed the amount actually paid by the buyer for the relevant Service, except in cases of gross negligence or intentional misconduct.
Article 12 — Complaints
Any complaint relating to a Service must be submitted in writing to [contact email address to be specified] within 30 days following the delivery of the relevant Service.
Article 13 — Governing law and jurisdiction
These Terms and Conditions are governed by French law. Any dispute relating to their interpretation or performance shall fall within the exclusive jurisdiction of the Commercial Court of [city to be specified — generally the court having jurisdiction over the registered office, therefore Lyon], if no amicable resolution can be reached.
